Munich, January 17, 2007 - The Nemetschek Group today submitted a public takeover offer to the shareholders of Graphisoft SE. "We are offering shareholders an equivalent of 9 EUR per share. It is a fair price that appropriately reflects the value of the company," says the company's CFO and spokesperson for the board Ernst Homolka. The offer of 2,273 forints (HUF) corresponds exactly to 9 euros and was submitted to the Hungarian Financial Supervisory Authority (HFSA) this Wednesday before the stock exchange opened. The regulatory authority will verify the offer over the next two weeks. Afterwards, shareholders will have 45 days to sell their shares. The transaction is expected to be completed around mid-March. The Nemetschek Group has a majority stake of 54.3 percent in Graphisoft since December 31, 2006.

According to Homolka, Nemetschek will strengthen its market position with the acquisition of Graphisoft and will finally become the world's leading seller of AEC software solutions in terms of technology. Through this acquisition, the group will significantly improve its key business performance indicators thanks to a substantial increase in sales, significant growth in operating profit EBITDA, and an increase in operating income. Both companies already have a combined total of 270,000 customers in 142 countries, with expected sales revenues of 140 million EUR in 2007.
